1. Agreement to Terms

By accessing or using any services provided by studionova, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site and our services. These terms apply to all visitors, users, and others who wish to access or use the Service.

2. Our Services

studionova provides a range of digital creative services, including but not limited to web design, graphic design, branding, digital marketing, and content creation. All services are provided with reasonable care and skill, in a professional and timely manner, and in accordance with the specifications agreed upon with the client.

3. Client Responsibilities

Provision of Materials

Clients are responsible for providing all necessary content, images, logos, and other materials required for the project in a timely manner. Delays in providing materials may impact project timelines.

Feedback and Approvals

Timely feedback and approvals are crucial for project progression. Clients agree to review work and provide feedback within agreed-upon timeframes.

Legal Compliance

Clients are responsible for ensuring that all content provided complies with relevant copyright, trademark, and other intellectual property laws.

4. Payment Terms

Our payment terms are outlined in the individual project proposal or contract. Typically, a deposit is required upfront, with subsequent payments staggered across project milestones or upon completion.

  • Initial Deposit: Required to commence work.
  • Milestone Payments: Based on project progress.
  • Final Payment: Due upon project completion and before final delivery.
  • Late Payment: May incur additional charges as specified in the contract.

5. Intellectual Property

Upon full payment for services rendered, the intellectual property rights for the finalized design and development work will be transferred to the client. Until full payment is received, all intellectual property rights remain with studionova.

studionova reserves the right to display completed projects in its portfolio and for promotional purposes, unless a non-disclosure agreement (NDA) specifies otherwise.

6. Limitation of Liability

studionova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total liability to you for any and all claims arising out of or in connection with these Terms or the services provided shall not exceed the total amount paid by you to studionova for the specific project giving rise to the claim.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of Czechia, without regard to its conflict of law provisions. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Prague, Czechia.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
